1. Acceptance of terms

By accessing or using WellsManager (the “Service”), you agree to these Terms of Service. The Service is provided by OnixOil LLC. If you do not agree, do not use the Service.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts for violations of these Terms.

3. Acceptable use

You agree not to:

  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Use the Service to transmit unlawful, harmful, or infringing content.
  • Circumvent authentication, authorization, rate limits, or other security controls.
  • Interfere with the Service's operation or other customers' use of it.

4. Your data

You retain ownership of the data you submit to the Service. You grant us a limited license to host, store, transmit, and display that data solely to provide and improve the Service. See the Privacy Policy for details.

5. Service availability

We strive for high uptime but do not guarantee uninterrupted availability. We may perform maintenance, release updates, or modify features. We will provide reasonable notice for material changes that affect your use.

6. Fees

Fees, if any, are as agreed in your subscription or order form. Unless otherwise stated, fees are non-refundable. We may change pricing with at least 30 days' notice for recurring subscriptions.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLSMANAGER AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or to comply with law. Sections that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Harris County, Texas.

11. Changes

We may update these Terms. Material changes will be notified via email or in-app notice. Continued use after the effective date constitutes acceptance.
